Terms & Conditions

1. Who we are

“Funnel Studio,” “we,” or “us” provides custom Looker Studio dashboards and related analytics services that help small teams understand and act on their marketing and operations data.

2. Scope of services

Our services may include: (a) provisioning a private client portal and shared Google Drive folders; (b) creating a Looker Studio dashboard “shell”; (c) collaborating to design and implement selected visualizations; and (d) an optional monthly maintenance plan to keep things current. Some services may be optional add-ons or quoted separately (e.g., complex data preparation or custom integrations).

3. Engagement flow & milestones

1. Phase 1 — Setup / Shell. We provision your portal, Drive folders, and dashboard shell; we also perform a simple data intake test to confirm feeds. Milestone: Setup Complete.
2. Phase 2 — Collaborate & Build Visualizations. Together we select metrics and visuals; we implement, style, and test each item. Milestone: Dashboard Live.
3. Phase 3 — Ongoing Maintenance (Optional). Keep refreshes healthy and dashboards current with our single Managed Analytics Maintenance plan. Cancel anytime for month-to-month plans.

4. Pricing, billing & taxes

• Per-visualization pricing. Visuals are categorized (e.g., scorecards, time series, funnels, pivots). Rates vary by category and complexity. Structural changes or new visuals are billed as new work.
• Setup & build. Setup covers the shell and provisioning items. Build fees apply to the visuals you select. Some projects may use milestone-based invoicing.
• Monthly plan. Ongoing maintenance is billed separately and may be started, changed, or canceled month-to-month unless stated otherwise in a proposal.
• Payments. Unless otherwise specified, invoices are due upon receipt and processed via our designated payment provider. Late balances may pause services.
• Taxes. You are responsible for any applicable taxes, duties, or government charges, excluding our income taxes.

5. Monthly plan

We offer one optional monthly plan. Current inclusions and pricing are shown on the Pricing page.

6. Swap policy

Simple visualization swaps (e.g., bar ↔ line, table ↔ KPI) are included under Managed Analytics Maintenance. Any change that adds new fields, dimensions, joins, filters, pages, or requires new data prep is considered a new visual or a structural change and is billed accordingly.

7. Handoff (ownership transfer)

If you choose the optional handoff package, we will (a) transfer the Looker Studio report to your account, (b) reconnect data sources under your credentials, and (c) verify refreshes and access. After handoff, you are responsible for any ongoing changes, access control, and data refresh under your own accounts.

8. Cancellation & access after cancellation

• Cancel anytime for month-to-month plans. Prepaid amounts are not refundable unless required by law or expressly stated otherwise.
• Access after cancellation. Your dashboard remains viewable via your Funnel Studio login; however, automated updates stop and access to your shared Drive data folder is removed. You may re-enable service by resubscribing to Managed Analytics Maintenance or request a handoff.

9. Client responsibilities

• Accounts & permissions. You will supply timely access to required third-party accounts (e.g., Google, ad platforms, CRM) and keep credentials current.
• Data accuracy & rights. You are responsible for the accuracy, legality, and rights to use the data you provide or connect.
• Review & acceptance. Please review deliverables promptly; absent written notice within 7 days of delivery, items may be deemed accepted for billing purposes.

10. Third-party platforms & data connectors

Dashboards depend on third-party services (e.g., Google Looker Studio, Google Drive, Slack, Airtable, and various ad/CRM platforms). Their availability, rate limits, pricing, and APIs are outside our control and may affect refresh times, data completeness, or features. We do not guarantee uninterrupted availability of any third-party service.

11. Data ownership & intellectual property

• Your data. You retain ownership of customer data, business data, and content you or your systems provide.
• Deliverables. Upon payment, you receive a non-exclusive, non-transferable license to use the delivered dashboards internally. Our underlying methods, templates, libraries, scripts, and know-how remain our intellectual property.
• Attribution & publicity. We won’t use your trademarks or identify you publicly as a client without your prior consent.

12. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform obligations under these Terms.

13. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect and process personal data.

14. Warranties & disclaimers

• We warrant that services will be performed in a professional and workmanlike manner.
• EXCEPT AS EXPRESSLY STATED, SERVICES AND MATERIALS ARE PROVIDED “AS IS.” WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• Analytics are decision-support tools; you are solely responsible for business decisions and outcomes.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. EXCEPT FOR PAYMENT OBLIGATIONS OR INDEMNITY DUTIES, EACH PARTY’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO FUNNEL STUDIO FOR THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless Funnel Studio from claims arising out of (a) your data or content; (b) your use of the services in violation of law or these Terms; or (c) disputes between you and your customers or vendors.

17. Suspension & termination

We may suspend or terminate access for material breach (including non-payment), unlawful activity, or risks to platform security or third-party services. We will make reasonable efforts to notify you in advance when practical.

18. Changes to services or Terms

We may update services to improve reliability or security and may update these Terms from time to time. Material changes will be posted on this page with a revised “Effective date.” Continued use after changes become effective constitutes acceptance.

19. Governing law & venue

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the state or federal courts located in Kentucky for any dispute not subject to small-claims court.

20. Miscellaneous

• Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
• Assignment. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or asset transfer.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• Entire agreement. These Terms, together with any proposal or order form and our Privacy Policy, constitute the entire agreement concerning the services.
• No waiver. Failure to enforce a provision is not a waiver.
